1. Who we are and acceptance of these Terms

These Terms and Conditions ("Terms") govern your use of manoswine.com, the Mano's Wine custom bottle designer, our corporate order portal, and any purchase you make from us (together, the "Services"). The Services are operated by Mano's Wine, Inc. ("Mano's," "we," "us," "our"), a Missouri corporation located in Kansas City, Missouri.

By using the Services or placing an order, you agree to these Terms, our Privacy Policy, Shipping Policy, and Refund Policy, which are incorporated by reference. If you do not agree, do not use the Services.

Eligibility. You must be at least 21 years old to access the Services, create an account, or place an order. By using the Services you represent that you are 21 or older, that any recipient of an alcohol order is 21 or older, and that you are not purchasing on behalf of anyone under 21. We may require proof of age at any time and may cancel any order where age cannot be verified.

Business customers. If you order through our corporate program, you represent that you have authority to bind your organization and that the organization accepts these Terms.

Changes. We may update these Terms by posting a revised version with a new effective date. Material changes will be flagged on the site or by email to account holders. Continued use after the effective date means you accept the revised Terms.

2. Alcohol sales, age verification, and shipping

Mano's sells alcoholic beverages only where permitted by law and only to adults 21 or older. These rules apply to every order that contains wine or any other alcohol.

Licensing and legal compliance. We ship under the federal, state, and local permits we hold. We ship only to states and addresses where direct-to-consumer alcohol shipment is lawful, and we may cancel or refuse any order to a destination we are not permitted to serve. Current ship-to restrictions are listed in our Shipping Policy and at checkout, and they may change without notice as laws change.

Adult signature. Every alcohol shipment requires the signature of a person 21 or older at delivery, with valid government-issued ID. Packages will not be left unattended. You are responsible for making sure an eligible adult is available. If the carrier cannot obtain a signature after its allowed attempts, the package is returned to us and you are responsible for the original and any re-shipment charges, as set out in the Shipping Policy.

Delivery addresses. We cannot ship alcohol to P.O. boxes, lockers, freight forwarders, or any address outside the United States. Shipping to Hawaii is available only by arrangement with customer service.

Not for resale. Products are sold for personal consumption or lawful gifting only. You may not resell, redistribute, or transfer alcohol purchased from us, and you may not provide it to anyone under 21.

Weather holds. We may delay shipment during extreme heat or cold to protect the wine. Weather holds are not a basis for cancellation or refund of custom orders.

Gifting. If you ship a gift, you remain the purchaser and are responsible for confirming the recipient is 21 or older and can accept delivery. Our shipping boxes carry Mano's branding and an alcohol notice.

Taxes. Prices exclude sales, excise, and other taxes, which are calculated at checkout based on the ship-to address.

Responsible consumption. Please drink responsibly. Mano's does not encourage excessive or underage drinking.

Age gate. Our site uses an age-confirmation screen. Bypassing it, or giving false age information, is a breach of these Terms.

3. Orders, pricing, payment, and returns

Order acceptance. Your order is an offer to buy. We accept it when we send a shipping confirmation, not when we send an order confirmation. We may refuse, limit, or cancel any order for any lawful reason, including suspected fraud, licensing restrictions, pricing errors, or unavailable stock. If we cancel a paid order, we refund the amount charged.

Pricing. Prices are in U.S. dollars and may change without notice. If a product is listed at an incorrect price, we may cancel the order and refund you, even after confirmation. Shipping is charged as a flat rate per order as shown at checkout. Promotional codes cannot be combined unless stated and have no cash value.

Payment. You authorize us and our payment processor to charge your payment method for the full order amount, including shipping and taxes. You represent that you are authorized to use that payment method. We do not store full card numbers.

Production time. Etched and custom bottles are made to order. Typical production time is 10 to 14 business days before shipment, but it may be longer during peak periods. Quoted times are estimates, not guarantees.

Custom and personalized items are final sale. Once a custom order is submitted, it cannot be cancelled, changed, returned, or refunded. You are responsible for checking all names, dates, spelling, and uploaded artwork before you submit. We are not responsible for errors in information you provide.

Damaged or incorrect items. If an item arrives damaged or does not match your approved design, contact orders@manosinc.com within 30 days of delivery with photos. We will replace, repair, or refund at our option. Claims made after 30 days are handled as store credit.

Non-custom returns. Non-personalized items may be returned within 30 days in original, unopened condition. Original shipping and return shipping are deducted from the refund. Alcohol cannot be returned once opened.

Failed delivery and re-shipment. Charges for failed delivery and re-shipment are set out in the Shipping Policy.

Gift cards. Gift cards and e-gift cards are not refundable or redeemable for cash except where required by law, and cannot be used to buy other gift cards.

Mano's Rewards. Rewards points have no cash value, cannot be transferred or sold, and may be adjusted or cancelled if an order is refunded or we detect abuse. We may change or end the program at any time; earned points will be honored for at least 30 days after notice of termination.

Product appearance. Each bottle is hand-etched and hand-painted. Minor variations in color, shading, and placement are normal and are not defects. On-screen previews, including AI-generated previews, are approximations of the finished product.

4. Custom designs and content you provide

"Your Content" means anything you upload, type, or submit to the Services: photos, logos, artwork, names, messages, text prompts, reviews, and comments.

You own Your Content. You keep all rights you have in Your Content. By submitting it, you grant Mano's a worldwide, non-exclusive, royalty-free license to store, reproduce, modify, adapt, and use Your Content to produce your order, generate previews, provide customer service, and operate the Services. This license lasts as long as needed to fulfill and support your order and to meet our record-keeping obligations.

Marketing use is opt-in. We will not use photos of your finished bottle or Your Content in marketing, social media, or product listings unless you give separate permission (for example by tagging us or checking a box). You can withdraw that permission at any time by emailing orders@manosinc.com.

Your promises about Your Content. You represent and warrant that:

• you own Your Content or have all rights needed to let us use it as described above;

• Your Content does not infringe any copyright, trademark, right of publicity, or other right of any person or company;

• every identifiable person shown in a photo has consented to its use on a product, and for anyone under 18, a parent or guardian has consented;

• Your Content is not unlawful, defamatory, obscene, hateful, harassing, or threatening, and does not promote illegal activity or underage drinking;

• Your Content does not contain viruses or malicious code.

Licensed and trademarked material. We can only reproduce third-party logos, team marks, characters, song lyrics, quotes, and brand names when we hold a license for them. Our licensed partner designs are available in the relevant collections. Do not upload or request other third-party trademarks or copyrighted material unless you own them or can show us written permission. We may reject any design on this basis.

Right to refuse. We may decline, edit, or cancel any custom order that we believe violates these Terms, infringes third-party rights, breaches a licensing agreement, or is inconsistent with our brand, at our sole discretion. If we cancel before production begins, we refund the amount paid.

Your approval is final. The design you approve at checkout is the design we produce. We are not responsible for typos, low-resolution images, or layout choices in an approved design. Files intended for corporate orders should be supplied in vector format where requested; we may ask for a replacement file if the one provided cannot be produced to our standard.

Reviews and comments. If you post a review or comment, you grant us a perpetual, royalty-free license to display and use it. We may remove any review at our discretion. Reviews must reflect your real experience.

Copyright complaints. If you believe content on the Services infringes your copyright, send a notice meeting the requirements of 17 U.S.C. § 512(c) to our designated agent at orders@manosinc.com, subject line "DMCA Notice."

5. AI design tools and AI-generated content

Mano's offers an AI-assisted bottle designer and may use artificial intelligence elsewhere in the Services, such as design suggestions, image processing, customer support, and fraud screening (together, "AI Features"). This section applies whenever you use an AI Feature.

What the AI Features do. The AI designer takes your text prompts, uploaded images, and selections ("Inputs") and generates design previews, artwork, and suggestions ("Outputs"). AI Features are provided to help you create a design. They are not a substitute for your own review, and no Output is final until you approve it and we accept the order.

AI disclosure. Previews and artwork produced by the AI designer are generated or modified by automated systems, not drawn by a person. Where an Output is used on a finished product, our artisans reproduce it by hand, so the result may differ from the preview.

Outputs can be wrong. AI systems can produce results that are inaccurate, distorted, offensive, or similar to content created by others. You are responsible for reviewing every Output before approving it. We do not guarantee that any Output is accurate, original, free of third-party rights, or suitable for your purpose.

Ownership of Outputs. Subject to these Terms and to the extent permitted by law, Mano's assigns to you any rights it has in Outputs generated from your Inputs, once your order is paid. You acknowledge that Outputs may not be protectable under copyright law, that similar Outputs may be generated for other customers, and that Mano's keeps all rights in its own templates, fonts, brand assets, licensed partner artwork, and the AI Features themselves.

Your Inputs. You retain ownership of your Inputs. You grant us the license in Section 4 to use Inputs to generate Outputs and produce your order. Inputs are Your Content and must meet every requirement in Section 4.

Do not upload:

• photos of people who have not consented, or of anyone under 18 without a parent's or guardian's consent;

• someone else's personal information, government IDs, or financial information;

• third-party trademarks, logos, characters, celebrity likenesses, or copyrighted artwork you do not have the right to use;

• content that is sexual, violent, hateful, harassing, or that promotes illegal activity or underage drinking;

• prompts designed to make the AI produce any of the above or to circumvent our content filters.

Third-party AI providers. The AI designer is powered by models from OpenAI, accessed through its business API. Your Inputs and Outputs are transmitted to and processed by OpenAI under its API terms and security practices. OpenAI's API terms provide that data submitted through the API is not used to train its models. If we add or change providers, we will update this section and our Privacy Policy.

How we use Inputs and Outputs. We use Inputs and Outputs to fulfill your order, improve the quality and safety of the AI Features, prevent abuse, and meet legal obligations. We do not use your Inputs or Outputs to train AI models, and we do not allow our providers to do so. Our Privacy Policy explains what we keep and for how long.

Automated decisions. We do not use AI Features to make final decisions about your eligibility to buy alcohol. Age verification, order refusal, and fraud decisions are reviewed by a person when they would otherwise prevent a purchase, and you can ask for human review at orders@manosinc.com.

Content moderation. We may automatically or manually screen Inputs and Outputs and may block, remove, or refuse to produce any content that violates these Terms. We may suspend access to AI Features for abuse.

No professional advice. AI Features and any AI-powered support tool provide general information only. They do not give legal, medical, or financial advice.

Availability. AI Features are provided as a convenience. We may change, limit, or withdraw them at any time without liability.

Indemnity for Inputs. The indemnity in Section 7 applies to any claim arising from Inputs you provide or Outputs you approve.

6. Intellectual property, acceptable use, and third parties

Our property. The Services and everything in them, including the Mano's Wine name and logo, bottle designs, templates, etching artwork, photographs, text, software, the custom bottle designer, and the look and feel of the site, are owned by Mano's or our licensors and protected by copyright, trademark, and other laws. Except for the limited rights in Sections 4 and 5, nothing in these Terms gives you any right to our intellectual property.

Licensed partner marks. Team names, logos, university marks, film and television properties, and other third-party brands shown on the Services are the property of their respective owners and are used under license. You may not copy them or ask us to apply them to products outside the licensed collections.

Limited license to you. We grant you a personal, non-transferable, revocable license to use the Services to browse, design, and buy products for your own use. You may not copy, scrape, frame, reverse-engineer, or create derivative works from the Services, and you may not use automated tools, bots, or AI agents to access the Services except through interfaces we expressly provide.

Accounts. You are responsible for keeping your login credentials confidential and for all activity under your account. Tell us immediately at orders@manosinc.com if you suspect unauthorized use. We may suspend or close accounts that violate these Terms.

Prohibited uses. You may not use the Services to:

• break any law, including alcohol, export, and consumer protection laws;

• buy alcohol for, or deliver it to, anyone under 21;

• misrepresent your age, identity, or authority;

• infringe or misappropriate anyone's intellectual property or privacy rights;

• upload malicious code, probe our systems, or interfere with the Services;

• harvest other users' data or send spam;

• use the AI Features in violation of Section 5;

• resell products or use the Services for commercial purposes other than through our corporate program.

Third-party services and links. The Services rely on third-party providers, including Shopify (hosting and checkout), payment processors, FedEx, reviews and rewards platforms, and AI model providers. Links to third-party sites are provided for convenience; we do not control them and are not responsible for their content or practices. Your use of those services is governed by their own terms.

Feedback. If you send us ideas or suggestions, we may use them without obligation to you.

Privacy. Our collection and use of personal information is described in our Privacy Policy. We honor applicable privacy rights, including rights under state consumer privacy laws, as described there.

Communications. By creating an account or placing an order you agree to receive transactional emails. Marketing emails and texts require your separate consent and you can opt out at any time.

7. Disclaimers, limitation of liability, and indemnification

Disclaimer of warranties. THE SERVICES, INCLUDING THE AI FEATURES AND ALL OUTPUTS, ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, MANO'S DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT AI OUTPUTS WILL BE ACCURATE, ORIGINAL, OR FREE OF THIRD-PARTY RIGHTS. Products carry only the remedies described in Section 3 and our Refund Policy.

Alcohol. Alcohol consumption carries health risks. Products are sold for responsible use by adults. Mano's is not liable for injury or loss resulting from consumption of its products, except where caused by a defect for which we are responsible under applicable law.

Limitation of liability. TO THE FULLEST EXTENT PERMITTED BY LAW, MANO'S AND ITS OFFICERS, EMPLOYEES, CONTRACTORS, ARTISANS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR LOSS OF GOODWILL, ARISING FROM THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO AN ORDER IS LIMITED TO THE AMOUNT YOU PAID FOR THAT ORDER; FOR ANY OTHER CLAIM, TO ONE HUNDRED DOLLARS ($100).

Exceptions. Nothing in these Terms limits liability that cannot be limited by law, including liability for death or personal injury caused by our negligence, fraud, or gross misconduct. Some states do not allow certain exclusions, so parts of this section may not apply to you, and you may have additional rights.

Indemnification. You agree to defend, indemnify, and hold harmless Mano's and the parties listed above from any claim, loss, liability, or expense (including reasonable attorneys' fees) arising from: (a) Your Content, Inputs, or any design you approve; (b) your breach of these Terms or of any representation in Sections 2, 4, or 5; (c) your violation of any law or third-party right; or (d) delivery of alcohol to a person under 21 as a result of information you provided. We may take over the defense of any claim at our expense, and you will cooperate.

Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control, including weather, carrier disruption, supply shortages, labor actions, government orders, or outages of third-party services.

Release. To the extent permitted by law, you release Mano's from claims arising out of disputes between you and a gift recipient, licensor, or other third party in connection with the Services.

8. Governing law, disputes, and general terms

Governing law. These Terms and any dispute between you and Mano's are governed by the laws of the State of Missouri and applicable U.S. federal law, without regard to conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Talk to us first. Before starting any formal proceeding, email orders@manosinc.com with a description of the issue and what you would like us to do. We will try to resolve it within 30 days. Most problems can be fixed this way.

Arbitration. If we cannot resolve a dispute informally, you and Mano's agree that it will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court, except that either party may bring an individual claim in small-claims court. The arbitrator may award the same relief a court could, but only to the individual party seeking it. The Federal Arbitration Act governs this section.

Class action waiver. You and Mano's agree to bring claims only in an individual capacity, not as a plaintiff or class member in any class, consolidated, or representative action. If this waiver is found unenforceable for a particular claim, that claim must proceed in court, not arbitration.

Opt-out. You may opt out of arbitration by emailing orders@manosinc.com with the subject line "Arbitration Opt-Out" within 30 days of first accepting these Terms. Opting out does not affect any other part of these Terms.

Venue. For any dispute not subject to arbitration, you and Mano's consent to the exclusive jurisdiction of the state and federal courts located in Jackson County, Missouri.

Time limit on claims. To the extent permitted by law, any claim arising from the Services must be filed within one year after it arose, or it is permanently barred.

Severability. If any provision of these Terms is held invalid, the rest remain in effect, and the invalid provision will be enforced to the maximum extent permitted.

No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.

Assignment. You may not assign these Terms. We may assign them to an affiliate or successor.

Entire agreement. These Terms, together with the policies incorporated by reference, are the entire agreement between you and Mano's about the Services and replace any prior terms.

Survival. Sections 4 through 8 survive any termination of your account or these Terms.

Termination. We may suspend or end your access to the Services at any time for breach of these Terms. You may stop using the Services at any time. Paid orders already accepted will be fulfilled or refunded as described in Section 3.
